What is a Wyoming Foreign LLC?
A foreign LLC is any LLC formed outside the state of Wyoming. (By contrast, any LLC formed in Wyoming is called a domestic LLC.) When you register your out-of-state LLC to do business in Wyoming, you’ve got a Wyoming Foreign LLC.

To legally transact business with your foreign LLC in Wyoming, you’ll need to register your LLC with the WY Secretary of State.

How to Register Your Own FLLC
Prefer to file on your own? Here’s how to register a foreign LLC in Wyoming.
1. Obtain a Wyoming Registered Agent
All Wyoming foreign LLCs must have a registered agent that is located within the state of Wyoming so that the WY Secretary of State can easily get important legal documents to your company when necessary.
Because you must list your WY registered agent on your Application for Certificate of Authority, you need to appoint your agent before submitting your application. If you don’t list a Wyoming registered agent on your Application, your filing will be rejected.
Who should I designate as my WY registered agent?
You can designate one of your employees who resides in Wyoming or another Wyoming business connection, such as a lawyer, as your Wyoming registered agent.
However, for most companies, the most convenient and reliable solution is to hire a registered agent service based in Wyoming.
2. Confirm That Your LLC Name is Available
In Wyoming, all registered business entity names must be unique. So, if another company—this includes both companies formed in WY and foreign companies with the authority to operate in WY—is registered under your company’s legal business name, you won’t be able to use that business name in Wyoming.

3. Get a Certificate of Good Standing From Your Home State
Wyoming requires that you attach a Certificate of Good Standing from your home jurisdiction to your Application for Certificate of Authority. Your Certificate must be dated not more than 60 days before your Application for Certificate of Authority filing.
You can obtain a Certificate of Good Standing from the state agency in charge of business registrations in your state (usually the Secretary of State’s office). Prices will vary from state to state.
4. File an Application for Certificate of Authority
Next, you’ll file your Application for Certificate of Authority with the Wyoming Secretary of State.
On your form, you’ll need to provide:
- LLC Name
- Jurisdiction of Formation
- Date of formation
- Period of duration (if you intend to dissolve your LLC on a certain date, put that here)
- Mailing address
- Principal business address (must be a physical street address)
- Registered agent name and address
- The date your LLC will begin doing business in Wyoming
- Certification of registered agent consent
- Signature of the person authorized to file your Application
- Consent to appoint by registered agent
- Your Certificate of Good Standing from your home state
The filing fee is $150, and you can submit your filing by mail or in person.
Once your Application is accepted, you’re ready to start making money in Wyoming.
5. Submit Your Annual Report Each Year
The Annual Report is a yearly filing that all registered Wyoming business entities, including foreign LLCs, are required to file every year. This report keeps your FLLC information current with the state. If you don’t file your report, the state could revoke your authority to do business in Wyoming after 60 days.
Due Date
Your Annual Report is due on the first day of your anniversary month (the month you registered to do business in Wyoming). So, if you registered your LLC on June 25th, you need to submit your Annual Report by June 1st starting the following year.
Filing Fee (License Tax)
The filing fee, called the License Tax, is $60 for FLLCs with less than $300,000 in assets located in Wyoming.
If you have more than $300,000 in assets in Wyoming, you’ll need to pay two-tenths of one million on the dollar ($.0002) of your LLC’s total value of assets located in Wyoming. Luckily, the Wyoming Online Business Services portal has a fee calculator.
