Every business formed by registering with the Colorado Secretary of State, such as an LLC or corporation, is required by state law to have a registered agent (CO CRS 7-90-701).

A registered agent acts as the middleman between you and the state, accepting legal and state documents (such as service of process) on behalf of your business. Having a registered agent means that the state always has a way to get in touch with you and that legal notices don’t get lost after they go out for delivery.

You can designate a person or a company to serve as your registered agent. If you appoint a person, they must be at least 18 years old and have a valid Colorado driver’s license or ID card.

All registered agents must be located within the state of Colorado and be available to accept legal documents during regular business hours. Registered agents must have a street address, not a PO Box, where they can receive service of process.

If you don’t list a registered agent on your formation paperwork, your application will be rejected.

If you don’t maintain a registered agent after formation, you may not receive important summons or notifications from the state and miss critical legal or state deadlines. You may also lose your good standing with the state for violating statutory law and face fines and other penalties, including having your entity status changed to Delinquent.

When you’re marked delinquent, you may lose your business name because it becomes available for other businesses to take after 400 days. And to restore your company, you must file a Statement Curing Delinquency ($100).

You can serve as your own registered agent. To do so, you must list your own name and the address where you’ll be available to receive documents.

However, there are some drawbacks to being your own registered agent. If you work from home, you’ll have to put your home address on your formation paperwork, which goes on the public record. If you work from an office, you may be served in front of clients. And if you travel for work or go on vacation, you may not receive an important legal document on time.

A registered agent doesn’t automatically form your company after being appointed. If you want your agent to file your formation paperwork, you’ll have to hire them for that service (for example, we’ll file your paperwork as part of our Company Formation Service).

Do I need to have a Colorado registered agent?

All business entities formed by submitting paperwork with the Colorado Secretary of State are required by law to have a registered agent at formation and to maintain a registered agent as long as they are in business.

Is it better to be my own agent or hire a service?

It depends on your goals. If you don’t mind listing your own address on formation paperwork, will always be available during regular business hours to accept legal documents, and don’t want to spend any money, be your own registered agent.

However, if you won’t always be available and don’t want to miss any notices or documents, want to keep your address off the public record, and don’t want lawsuits delivered to your home or place of business, hiring a service is the right move for you.

Do I sign up before or after forming my business?

Because you must list your registered agent’s name and address on your formation documents, you should sign up before forming your business. Otherwise, you’ll have to go through the process of changing your registered agent on your periodic report or with a Statement of Change form. Plus, the name and address of your previous registered agent will still be on the public record.

When I hire you as my RA, do you file my formation documents?

We do not automatically file your formation paperwork when you hire us as a registered agent. However, if you order Company Formation service, we file on your behalf and give you a year of registered agent service for $125 plus state fees.

What is Compliance Service?

Enrollment in Compliance Service is included with Registered Agent and Company Formation Services. We created this service because year after year, we see our clients getting in trouble after they’ve forgotten to file their Periodic Report with the Secretary of State. If your business is marked Delinquent for failing to file, you lose your good standing with the state, lose your business name, and face fines and other penalties for noncompliance.

To keep your business from suffering the negative consequences of missing your filing, we send you a reminder before the due date and then file on your behalf well ahead of time ($100 plus state fees, only charged at the time of filing). If you want to file on your own, just cancel the service inside your online account.
