What Happens If You Don’t Have a Registered Agent?

Don’t put your company at risk by operating without an agent! Maintaining a registered agent for the life of your company is required by Colorado state statutes.

The Colorado Secretary of State identifies four ways not having a registered agent can negatively impact your company:

  • You could miss important notices

If your company is sued but your summons isn’t received because you don’t have a registered agent, you may not be able to respond to the summons in time. And unfortunately, the plaintiff may be able to continue with the lawsuit without your company being involved, which could result in a default judgment in favor of the plaintiff even if you could have won the case easily.

  • You could lose your good standing with the state

When you lose good standing, you might not be able to:

  • bring a lawsuit against the state
  • register to do business in other states
  • obtain necessary financing through grants or loans
  • You could face fines and other penalties

Depending on the situation, the state of Colorado may levy additional fines or penalties against your company for noncompliance.

  • Your company could be marked Delinquent

If your company is marked Delinquent in the state records, a few different things happen:

  • After 400 days of delinquency, your registered business name will become available and you may lose your name to another business
  • You’ll have to go through the process of restoring your company from Delinquent status, including filing a Statement to Cure Delinquency ($100)
  • Anyone who views your company records through the state database will be able to see that your company was once Delinquent

Do you need a new registered agent? There are two—well, three—ways to change your registered agent in Colorado.

Each year, your business is required to file a Periodic Report to ensure that the information the state has on file about your company remains up to date.

If you are appointing a new registered agent, simply update the registered agent name and address on the report. Filing your Periodic report costs $25.

If it’s not time to file your Periodic Report and you’d like to change your registered agent, you can submit a Statement of Change: Changing the Registered Agent Information.

On the form, you’ll need to provide your new registered agent’s name and address on the form, along with the agent’s consent to serve on behalf of your company.

Filings are accepted online (find your business using the Record ID Search) and the fee is $10.
